1. Acceptance of Terms of Use Agreement

The below terms and conditions will apply to you when you start using the Iconica website (the “Service”) or input any data into the Service – therefore, you represent that you have read, understood and agreed to be bound by these Terms and Conditions, and by our Privacy Policy (available on our website www.iconica.io/privacy), including any future modifications, and any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service (collectively, this “Agreement”). If you do not agree to be bound by all of the terms of this Agreement as well as those of our Privacy Policy, please do not use the Service.

Iconica AG (“Iconica”, “we”, us”) may occasionally make changes to this Agreement and to the Service to reflect changes in legislation, new features or services, or changes in our own conditions. The most recent version of this Agreement, the one that applies, will be posted on the Service under Terms & Conditions, under the home page of www.iconica.io. We will notify you for any change which affects your rights and obligations, by reasonable means, which could include notification through the Service or via email (if you have provided it to us).

Iconica reserves the right to make changes to the Service or to charge for its services, at any time and for any reason. However, the details and pricing of each of these chargeable services shall always be clearly described to the User, and willingly accepted, before being charged.


2. Eligibility

Our services are not intended for anyone under the age of 18. You may not create an account on the Service if you are below 18. By creating an account and using the Service, you represent and warrant that:

·       You must have the ability to understand the terms, conditions, and any obligations under this Agreement with Iconica, and consent to them

·       You are not a person who is barred from using the Service under any local, national or international law or any other applicable jurisdiction

·       You will comply with this Agreement and all applicable laws, rules and regulations​


3. Inappropriate Use

Any content you upload, display or provide through the Service could not be deemed as defamatory, derogatory, threatening, harassing, hateful, offensive or otherwise violating any law, or infringing upon the right of any Third-Party (including copyright, trademark, privacy, publicity or other personal or proprietary rights (please read below (4.) for more details on our Copyright Policy), or restricts any other person from using the Service, or which may expose Iconica or its users to any harm or liability of any kind.


4. Copyright Policy

Iconica highly values the intellectual property rights of others, and wishes for its users to do the same. In this regard, together with the above, in regards to Inappropriate Use, you are neither allowed to copy, translate, make derivative versions, data mine, crawl, scrape, reverse engineer, or modify any part of the Iconica website, including its source code, content and navigational structure, in any way. The website itself, and all the trade marks, copyright, database rights and other intellectual property rights related to it, belong to Iconica.

In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, Iconica will promptly answer to claims of copyright infringement committed using the Iconica Website, which would be reported to Iconica in the notice format shared below.

If you are a copyright owner, or are authorised to act on behalf of one, please report alleged copyright infringements taking place on or through the Iconica Website by completing the following DMCA Notice of Alleged Infringement and delivering it to Iconica. Upon receipt of the Notice as described below, Iconica will take action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Iconica Website.

The Service and its content, including but not limited to text, graphics, logos, images, and software, are the property of Cloze or its licensors and are protected by intellectual property laws. You agree not to use, copy, reproduce, modify, distribute, or create derivative works based on the Service without Cloze’s prior written consent.

2.     Identify the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material, including at a minimum, if applicable, the screenshot and User Profile in the Iconica application, where such material may be found.

3.     Provide your mailing address, telephone number, and email address.

4.     Include both of the following statements in the body of the Notice:

o   "I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorised by the copyright owner, its agent, or the law (e.g., as a fair use)."

o   "I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorised to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed."

5.     Provide your full legal name and your electronic or physical signature.

7. Service Modification and Availability

Occasionally, to update or upgrade the Service, we will make changes to the Iconica Website. Iconica cannot guarantee that it will always be able to update the website so that it is relevant to you and/or works with the browser version that you have installed on your device at all times.

Iconica cannot guarantee that the Iconica website will not be interrupted, secure or error free, or that all defects and errors shall be successfully corrected.


8. Service Termination

We may wish to suspend the Service partly or entirely, or terminate it completely, at any time, without giving you notice, unless it affects your rights and obligations. Your account and all related products and services may also be terminated, without prior notice, if Iconica believes you have violated this Agreement.


9. Rights Granted to You

Subject to the terms of these Terms and Conditions, Iconica grants you a personal, worldwide, non-transferable, non-exclusive, revocable, and non-sublicensable license to access and use the Service. This license is for the sole purpose of letting you use and enjoy the Service, as intended by Iconica, and permitted by this Agreement. Therefore, you agree not to:

·       Use the Service or any content contained in the Service for any commercial purposes without our written consent

·       Use or affect the Service in any way that could interfere with or disrupt the Service, or the infrastructure or Third-Party providers facilitating the delivery, the vulnerability or the security of the Service

·       Use or develop any third-party applications that interact with the Service or other users’ content or information in the Service without our written consent

·       Encourage or promote any activity that violates this Agreement

Iconica may investigate and take any available legal action in response to illegal and/or unauthorised uses of the Service, including termination of your account.


10. Rights you grant Iconica

By using the Iconica website, you grant to Iconica a worldwide, transferable, exclusive, sub-licensable, royalty-free, right and license to host, store, use, copy, reproduce, adapt, edit information you authorise us to access from any information you post, upload, display or otherwise make available on the Service or transmit to us (collectively, “Content”). Our license to your Content is subject to your rights under applicable law and is for the limited purpose of operating, developing, providing, and improving the Service and researching and developing new ones. You agree that any Content you place or that you authorise us to place on the Service may be viewed by other users and may be viewed by any person visiting or participating in the Service (such as individuals who may receive shared Content from other Iconica users).

You agree that you will only submit accurate, genuine information upon creation of your account, are legally allowed to post the Content on the Service, and grant the license to Iconica above.

We regularly monitor and review Content sent through the Service. We may delete any Content, in whole or in part, that in our sole judgment violates this Agreement or may harm the reputation of the Service.

Iconica may access, store and disclose your account information and Content if required to do so by law, by performing its agreement with you, or in a good faith belief that such access, storage or disclosure satisfies a legitimate interest, including to:

·       Comply with legal process

·       Enforce the Agreement

·       Respond to claims that any Content violates the rights of third parties

·       Respond to your requests for customer service

·       Protect the rights, property or personal safety of the Company or any other person


11. Limitation of Liability

In no event will Iconica, its affiliates, employees, licensors or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, but not limited to, loss of use of the service, business interruption, loss of profits, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

·       Your access to or use of or inability to access or use the service

·       The conduct or content of other users or Third-Parties on, through, or following the use of the Service

·       Unauthorised access, use or alteration of your content, even if Iconica has been advised of the possibility of such damages

Iconica’s aggregate liability to you or for all claims relating to the service cannot exceed the amount paid, if any, by you to Iconica for the Service, over the last 12 months during which you have had an account, prior to the initial action giving rise to liability.


12. Entire Agreement

This Agreement, with the Privacy Policy and any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service, contains the entire agreement between you and Iconica regarding the use of the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The failure of the Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. You agree that your Iconica account is non-transferable and all of your rights to your account and its Content terminate upon your death. No agency, partnership, joint venture, fiduciary or other special relationship or employment is created as a result of this Agreement and you may not make any representations on behalf of or bind Iconica in any manner.


Governing Laws and Exclusive Courts

This Agreement shall be governed by and construed in accordance with the laws of Switzerland. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland, with the right of appeal to the Swiss Federal Tribunal being reserved.


Changes to these Terms and Conditions

We may update our Terms and Conditions from time to time. Thus, you should review this page periodically for any changes, if you wish to stay up-to-date with its content. We will notify you of any changes by posting the new Terms and Conditions on this page.

These terms and conditions are effective as of 19.01.2023.

You agree that any Content you place or that you authorise us to place on the Service may be viewed by other users and may be viewed by any person visiting or participating in the Service (such as individuals who may receive shared Content from other Iconica users).

You agree that you will only submit accurate, genuine information upon creation of your account, are legally allowed to post the Content on the Service, and grant the license to Iconica above.

We regularly monitor and review Content sent through the Service. We may delete any Content, in whole or in part, that in our sole judgment violates this Agreement or may harm the reputation of the Service.

Iconica may access, store and disclose your account information and Content if required to do so by law, by performing its agreement with you, or in a good faith belief that such access, storage or disclosure satisfies a legitimate interest, including to:

·       Comply with legal process

·       Enforce the Agreement

·       Respond to claims that any Content violates the rights of third parties

·       Respond to your requests for customer service

·       Protect the rights, property or personal safety of the Company or any other person


11. Limitation of Liability

In no event will Iconica, its affiliates, employees, licensors or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, but not limited to, loss of use of the service, business interruption, loss of profits, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

·       Your access to or use of or inability to access or use the service

·       The conduct or content of other users or Third-Parties on, through, or following the use of the Service

·       Unauthorised access, use or alteration of your content, even if Iconica has been advised of the possibility of such damages

Iconica’s aggregate liability to you or for all claims relating to the service cannot exceed the amount paid, if any, by you to Iconica for the Service, over the last 12 months during which you have had an account, prior to the initial action giving rise to liability.


12. Entire Agreement

This Agreement, with the Privacy Policy and any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service, contains the entire agreement between you and Iconica regarding the use of the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The failure of the Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. You agree that your Iconica account is non-transferable and all of your rights to your account and its Content terminate upon your death. No agency, partnership, joint venture, fiduciary or other special relationship or employment is created as a result of this Agreement and you may not make any representations on behalf of or bind Iconica in any manner.


Governing Laws and Exclusive Courts

This Agreement shall be governed by and construed in accordance with the laws of Switzerland. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland, with the right of appeal to the Swiss Federal Tribunal being reserved.


Changes to these Terms and Conditions

We may update our Terms and Conditions from time to time. Thus, you should review this page periodically for any changes, if you wish to stay up-to-date with its content. We will notify you of any changes by posting the new Terms and Conditions on this page.
